PremiChart Terms of Service

Effective date: July 18, 2026

These Terms of Service ("Terms") are a binding agreement between you and PremiChart LLC, a Colorado limited liability company ("PremiChart," "we," "us"), governing your use of the PremiChart mobile application, premichart.com, and related services (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Not investment advice — no fiduciary relationship

PremiChart is an informational and educational tool only. Nothing in the Service — including indicator readings (such as HEAT, OB/OS, or HERD), price forecasts, "BUY" or "SELL" stance labels, projections, alerts, Daily Picks, or any other output — constitutes financial, investment, tax, or legal advice, an offer or solicitation to buy or sell any security or digital asset, or a recommendation of any investment strategy. Algorithmic outputs are automated market stances, not personalized guidance.

PremiChart is not a broker-dealer, investment adviser, or fiduciary, and is not registered with the SEC, FINRA, CFTC, or any other regulatory body. No fiduciary, advisory, or professional relationship is created by your use of the Service. Investment decisions are yours alone. Consult a qualified, licensed financial professional before making financial decisions. Investing involves risk, including possible loss of principal.

2. No performance guarantees; hypothetical results

Past performance does not guarantee future results. Backtested, simulated, or projected results (including forecast candles, projections, and historical win rates) have inherent limitations: they are prepared with the benefit of hindsight, do not reflect actual trading, and do not account for slippage, fees, taxes, or liquidity. Actual results will differ, possibly materially. Any accuracy or confidence percentages describe historical algorithm behavior only and are not predictions.

3. Market data

Market data displayed in the Service is obtained from third-party sources believed to be reliable (including publicly available sources such as Yahoo Finance and cryptocurrency exchanges) but is provided "as is" and without warranty of any kind. Data may be delayed, incomplete, or inaccurate, and is provided for personal, informational, display use only. You may not redistribute, resell, or use the data for any commercial purpose or to operate a competing service. We may change data sources at any time.

4. Eligibility and accounts

You must be at least 18 years of age to use the Service. You agree to provide accurate registration information, keep your credentials confidential, and accept responsibility for all activity under your account. You must promptly notify us at support@premichart.com of any unauthorized use. We may suspend or terminate accounts that provide false information, violate these Terms, or abuse the Service (including scraping, reverse engineering, automated access, or attempts to circumvent subscription gates).

You may delete your account at any time in the app (Account → Delete Account). Deletion permanently removes your personal data as described in our Privacy Policy.

5. Subscriptions, billing, and refunds

Portions of the Service require a paid subscription ("PremiChart Premium"), offered as auto-renewing subscriptions (e.g., monthly or annual) purchased through Apple's App Store.

• Billing. Payment is charged to your Apple Account at confirmation of purchase. Prices are shown in the app before purchase and may vary by region.
• Free trial. Where offered, the free trial converts to a paid subscription unless cancelled at least 24 hours before the trial ends. Unused trial time is forfeited upon purchase.
• Auto-renewal. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. Manage or cancel in your Apple Account settings (Settings → Apple Account → Subscriptions). Deleting the app does not cancel a subscription.
• Refunds. Purchases are processed by Apple; refund requests are handled by Apple under Apple's policies (reportaproblem.apple.com). We do not separately charge or refund your payment method.
• Price and feature changes. We may change subscription prices or the features included in any tier prospectively; price changes apply no earlier than your next renewal and are subject to Apple's notice and consent procedures.

6. License and intellectual property

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service on Apple-branded devices that you own or control. All software, algorithms, indicators, designs, trademarks (including "PremiChart"), and content in the Service are owned by PremiChart LLC or its licensors and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service, or use any automated system to extract data from it.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

7. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) interfere with or disrupt the Service or its infrastructure; (c) attempt to gain unauthorized access to accounts, systems, or data; (d) misrepresent your identity; (e) use the Service to develop a competing product; or (f) resell, sublicense, or provide the Service to third parties for compensation.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA (INCLUDING PRICES, INDICATORS, OR FORECASTS) WILL BE ACCURATE, COMPLETE, OR TIMELY. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREMICHART LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL — INCLUDING ANY TRADING OR INVESTMENT LOSSES ARISING FROM RELIANCE ON THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US $50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless PremiChart LLC and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Dispute resolution — binding arbitration and class-action waiver

Please read this section carefully — it affects your legal rights.

• Informal resolution first. Before filing a claim, you agree to contact us at support@premichart.com and attempt in good faith to resolve the dispute informally for 60 days.
• Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be held in Denver County, Colorado, or remotely by videoconference, at your election. Judgment on the award may be entered in any court of competent jurisdiction.
• Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief for intellectual-property infringement in court.
• Class-action waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
• Opt-out. You may opt out of this arbitration agreement by emailing support@premichart.com within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out.

12. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 11. For claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver County, Colorado.

13. Apple App Store terms

These Terms are between you and PremiChart LLC only — not Apple Inc. Apple is not responsible for the Service or its content, and has no obligation to furnish maintenance or support. In the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing claims relating to the app, including product-liability claims, legal or regulatory compliance claims, and intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted-party list.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, suspected fraud or abuse, legal requirements, or discontinuation of the Service. Upon termination, your license ends; Sections 1–3 and 6–16 survive. Termination does not entitle you to a refund from us (Apple's refund policies govern purchases).

15. Changes to the Service and these Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms from time to time; the "Effective date" above will change, and material changes will be communicated in the app or by email. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service and cancel any subscription.

16. General

If any provision of these Terms is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and PremiChart LLC regarding the Service.
